Terms of Use

1. Introduction

Who we are. Sana Life Science Ltd, trading as Script Assist (“Script Assist”, “we”, “us”). Registered in England & Wales (12257367). Registered office (not for routine correspondence): Lopian Gross Barnett & Co, 1st Floor, Cloister House, Riverside, New Bailey Street, Salford, Manchester, M3 5FS.
What these Terms cover. These Terms govern your use of the App. App means a software application adapted for use by patients (and, where applicable, their authorised representatives), provided either as (i) a mobile application or (ii) a web application accessible via a web browser (“App”). Your use of the App software is also governed by our EULA (for app-store terms, OS/device requirements, update mechanics and software-related liability). For privacy and data topics, read our Privacy & Cookies Notice (on our website). For all other topics, these Terms govern.
Clinical services. We do not provide clinical services. Your Clinic/Pharmacy may provide its own terms for clinical services, pricing, refunds and delivery. Those terms govern clinical matters; Script Assist is not a party to them.
Territory. The App is intended for users in the British Islands (UK, Jersey, Guernsey, Isle of Man). We do not represent compliance outside the Territory. We may restrict access by location and may update the Territory from time to time.
Acceptance. By using the App, you agree to these Terms. If you do not agree, do not use the App. We may require you to accept an update to continue using the App.

2. What Script Assist is not

No medical services. We do not provide medical advice, diagnose, prescribe or dispense. Clinical decisions, prescriptions, dispensing, pricing, refunds and delivery are the responsibility of your Clinic/Pharmacy and prescriber.
Emergencies & communications. The App is not suitable for emergencies. Call 999 or use local emergency services. For clinical queries, use the contact routes your Clinic/Pharmacy specifies.

3. Access and acceptable use

Access. Subject to the EULA, you may use the App for your own healthcare in line with these Terms. We may apply reasonable limits (for example, rate-limits, storage caps or throttling) to protect the service.
Acceptable use. Use the App lawfully and responsibly. Do not misuse, damage, interfere with, or circumvent security or technical limits, and do not share your account.
Examples (not exhaustive): unauthorised access; copying or attempting to reverse-engineer core components; scraping or automated harvesting; running load/stress/security testing without our written permission; uploading malware or unlawful/infringing content; impersonation; attempting to obtain medication unlawfully; automated account creation or requests; uploading third-party personal data without authority.
IP. All IP in the App (software, databases, layout/design) excluding Clinic/Pharmacy materials belongs to Script Assist or our licensors. No rights transfer unless expressly granted.

4. Eligibility, accounts and security

18+ in the Territory (unless your Clinic/Pharmacy allows otherwise). Keep your details accurate and your login secure; tell your Clinic/Pharmacy or Script Assist promptly if you suspect unauthorised use. Under-18 use requires your Clinic/Pharmacy to confirm appropriate consent/authority. We may block outdated/jail-broken devices for security.
Delegated access. If your Clinic/Pharmacy enables delegated access (for example, a parent, guardian or carer), you are responsible for ensuring any delegate is authorised and acts lawfully. We may suspend or remove delegate access at any time.

5. Using the App

Features. Features are configured by your Clinic/Pharmacy and may differ between users. They may include tools to manage care (for example, requesting or tracking prescriptions) and, if enabled, making payments (see clause 6).
Your device & charges. You’re responsible for your device, connectivity and any data or roaming charges.
Maintenance. We may perform scheduled or unscheduled maintenance.
Changes. We may change or withdraw features at any time.
Preview features. We may offer pilot, beta or early-access features. These may change or be withdrawn and are provided as available.
Discontinuation. We may discontinue the App or a feature.

6. Payments (if enabled)

Some Clinics/Pharmacies allow you to pay through the App. Payments are processed by their chosen card and/or Open Banking provider(s); your use of each is subject to their terms. We process the payment and transaction information needed to take and reconcile payments; we do not receive or store full card numbers or CVV. Pricing, taxes, fees and refunds are set and handled by your Clinic/Pharmacy or their provider. Refunds, cancellations and disputes are handled by your Clinic/Pharmacy and/or the relevant provider

7. Privacy & cookies

We process personal data as explained in our Privacy & Cookies Notice (available on our website). That notice explains who controls what data (care vs platform), your rights, and how we use service providers and international transfer safeguards.

8. Third-party services and links

We’re not responsible for unavailability or errors caused by third-party services on which the App relies (for example, hosting, analytics and payment services), except where due to our failure to provide the App with reasonable skill and care. Links to third-party sites/services don’t mean we endorse them. We may change third-party providers from time to time without separate notice

9. Disclaimers and service standard

We will provide the App with reasonable skill and care. Otherwise, the App is provided “as is” and “as available”; we don’t guarantee uninterrupted or error-free operation or completeness/accuracy of information, and we don’t warrant the App will be free from loss or corruption of data, but we will use reasonable skill and care to safeguard it. Do not rely on the App for medical decisions.

10. Limitation of liability

Nothing limits/excludes liability for death/personal injury caused by negligence, fraud, or other liability that cannot be limited/excluded by law. We’re not liable for loss of profit, revenue, business, goodwill or anticipated savings, any indirect or consequential loss, or loss/corruption of data not caused by our breach. We’re not liable for clinical outcomes, prescriptions, dispensing, delivery or pricing/refunds (your Clinic/Pharmacy is responsible for those). Cap: given you don’t pay for the App service, our total liability to you relating to the App is £100 in aggregate in any rolling 12-month period, to the extent permitted by law.

11. Suspension and termination

We may take proportionate steps (for example, throttle, suspend or terminate access) to protect the App, users or third parties, or where required by law or by your Clinic/Pharmacy. We may remove content that breaches these Terms and may investigate suspected unlawful activity and refer matters to authorities. We may act immediately and without notice where reasonably necessary (for example, to manage security risk or legal obligations).

12. Changes to these Terms

We may update these Terms from time to time; the latest version date appears at the top.

13. General & precedence

No third-party rights. Force majeure applies. You can’t transfer your rights/obligations; we may transfer ours and will notify you. We may give notices in-app, by banner, push or email; you agree to service communications electronically. We may update our contact details and notices on our website; please use the details shown there for the latest information.
Feedback. If you give us ideas or suggestions, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use them to improve our services.
Sanctions/export. You must not use the App in breach of applicable export-control or sanctions laws.
Interpretation. Headings are for convenience. “Including” means “including without limitation.”
Severability. If part of these Terms is invalid, the rest still applies.
No waiver. A delay in enforcing these Terms isn’t a waiver.
No partnership/agency. These Terms don’t create a partnership or agency relationship.
Precedence. (1) Mandatory app-store terms apply where they conflict; (2) for the software topics in §1, the EULA prevails; (3) otherwise, these Terms apply. Entire agreement: these Terms are read with the EULA and our Privacy & Cookies Notice.

14. Governing law and jurisdiction

English law applies. You can bring proceedings in England & Wales; if you live in Scotland, Northern Ireland, Jersey, Guernsey or the Isle of Man, you may bring proceedings in your local courts. This does not deprive you of any mandatory protections under the laws of your location within the British Islands.
